Redding v. Montana 1st Jud. District
Petitioner Billie L. Redding asked the Supreme Court to exercise supervisory control over the First Judicial District Court, Lewis and Clark County, and to conclude it was error for the District Court to grant partial summary judgment to Defendants Timothy Janiak; Anderson ZurMuehlen & Co., P.C.; Ray E. Petersen; and Rick Ahmann. Petitioner's case arose from a series of real estate transactions by which she sold her property to Defendants for which she would receive payments from them which would serve as her monthly income. The scheme by which Defendants paid Petitioner and their other real estate clients collapsed in 2008 (as a Ponzi scheme), and they filed for bankruptcy. Petitioner sued, alleging: (1) unlawful sale of securities; (2) negligence; (3) negligent misrepresentation; (4) breach of fiduciary duty; (5) breach of contract; and (6) tortious breach of the covenant of good faith and fair dealing. Petitioner sought damages in the amount of $4,635,485.51, plus additional amounts for punitive damages, emotional distress, loss of established course of life, and consequential damages. Petitioner moved for summary judgment on several issues, the only issue before the Court was whether the "investments" Petitioner made with Defendants qualified as "securities" under the state Securities Act. The district court found that Petitioner "did not engage in a common enterprise," an essential element of an investment contract (i.e. a security), because she "did not share the risks of the investment with other investors because she agreed upon a contractually set return on her investment." Upon review, the Supreme Court determined that supervisory control was appropriate in this case and that the real estate transactions in question here were indeed securities. Accordingly the Court granted Petitioner's request for a Writ of Supervisory Control.
Capital Securities, Inc. v. Griffin
In 2006,Jefferson County purchased securities through Capital Securities, Inc., Jerry Manning, and Adam Alves a purchase later determined unlawful under section 24-75-601.1, C.R.S. (2008). The county sued Capital Securities and, among other things, sought to disgorge the commissions earned by Capital Securities under a theory of common law restitution. Both the trial court and the court of appeals concluded that restitution was appropriate and ordered Capital Securities to disgorge their commissions. The Supreme Court granted certiorari to examine whether restitution is an appropriate remedy in this context. Upon review, the Court held that it was not, and reversed the court of appeals: "The statutory scheme adopted by the General Assembly expressly sets forth a number of remedies available to a public entity against a seller when . . .the public entity unlawfully purchases securities under section 24-75-601.1. These remedies include forcing the seller to repurchase the securities 'for the greater of the original purchase principal amount or the original face value, plus any and all accrued interest, within one business day of the demand.' . . . Further, the securities commissioner may, inter alia, suspend or revoke a seller's license or license exemption if he 'knew or should have known' the securities were unlawful under section 24-75-601.1. sec. 11-51-410(k), C.R.S. (2011); sec. 11-51-402(4)(a), C.R.S. (2011)."
SEC v. Smart
In this civil enforcement action brought by the Securities and Exchange Commission (SEC) against Defendants-Appellants Brian Smart and Smart Assets, LLC, the district court entered a $4,715,580 judgment against Defendants for operating a Ponzi scheme, and it permanently enjoined them from further violations of federal securities laws. Defendant Smart appealed pro se. Upon review, the Tenth Circuit affirmed, concluding Defendant did not cite any evidence that would contradict declarations, bank records and other evidence submitted by the SEC.
John J. Fiero and Fiero Brothers, Inc. v. FINRA
Plaintiffs appealed from a dismissal of their complaint, which sought a declaratory judgment that, inter alia, the Financial Industry Regulatory Authority, Inc. (FINRA) lacked the authority to bring court actions to collect disciplinary fines as imposed. The court held that the heavy weight of evidence suggested that Congress did not intend to empower FINRA to bring court proceedings to enforce its fines and that the 1990 Rule Change did not authorize FINRA to judicially enforce the collection of its disciplinary fines.
Commodity Futures Trading Comm’n v. Walsh, et al.; SEC v. WG Trading Investors, L.P., et al.
This case arose out of the attempts of two federal agencies to disgorge funds from Janet Schaberg, the ex-wife of alleged Ponzi-scheme artist Stephen Walsh. Schaberg subsequently appealed from a memorandum decision and orders of the district court granting preliminary injunctions freezing Schaberg's assets. In response to certified questions, the New York Court of Appeals held that (a) proceeds of a fraud could constitute marital property, and (b) when part or all of the marital estate consisted of the proceeds of fraud, that fact did not, as a matter of law, preclude a determination that a spouse paid fair consideration according to the terms of New York's Debtor and Creditor Law section 272. The court held that because those rulings undermined the key legal assumptions supporting the preliminary injunctions, the court vacated those orders, without prejudice to further proceedings applying the legal principles pronounced by the New York Court of Appeals.
Pacificorp v. State of Montana, Dept. of Revenue
The Montana Department of Revenue ("Department") appealed a judgment reversing the State Tax Appeal Board's ("STAB") conclusion that the Department had applied a "commonly accepted" method to assess the value of PacificCorp's Montana properties. At issue was whether substantial evidence demonstrated common acceptance of the Department's direct capitalization method that derived earnings-to-price ratios from an industry-wide analysis. Also at issue was whether substantial evidence supported STAB's conclusion that additional obsolescence did not exist to warrant consideration of further adjustments to PacifiCorp's taxable value. The court held that substantial evidence supported the Department's use of earnings-to-price ratios in its direct capitalization approach; that additional depreciation deductions were not warranted; and that the Department did not overvalue PacifiCorp's property. The court also held that MCA 15-8-111(2)(b) did not require the Department to conduct a separate, additional obsolescence study when no evidence suggested that obsolescence existed that has not been accounted for in the taxpayer's Federal Energy Regulatory Commission ("FERC") Form 1 filing. The court further held that STAB correctly determined that the actual $9.4 billion sales price of PacifiCorp verified that the Department's $7.1 billion assessment had not overvalued PacifiCorp's properties.
